Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Eastlink Affiliate Ltd ("Eastlink Affiliate", "we", "us", or "our"), a company registered in the United Republic of Tanzania, governing your access to and use of the Eastlink Affiliate platform at eastlink.africa ("Platform").

These Terms apply to all users of the Platform, including Merchants, Affiliates, Vendors, Tipsters, and visitors. Additional terms may apply to specific features or products and will be presented where relevant.

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you meet this age requirement.

Eastlink Affiliate provides a performance-based affiliate marketing platform designed for businesses and promoters in East Africa. Our services include:

• Campaign management tools for Merchants to create, manage, and track affiliate programmes
• Affiliate dashboards for tracking clicks, conversions, earnings, and requesting payouts
• Tracking link and promo code generation for attributing referrals to individual Affiliates
• Tipster profiles for sports prediction publishing and verification
• A public Betting Offers Hub showcasing active betting and gaming affiliate campaigns
• A Partners Directory showcasing verified Merchant brand pages
• Direct Headhunting tools allowing Merchants to invite specific Affiliates to campaigns
• Mobile money payout processing via M-Pesa, Airtel Money, and MTN MoMo
• An Affiliate Academy with training resources
• Eastlink Finance — a separate financial tracking product for small businesses (subject to additional terms)

We reserve the right to modify, suspend, or discontinue any feature or service at any time with reasonable notice to affected users.

Account Creation

To use the Platform you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You may not use a false identity, impersonate another person, or create an account on behalf of someone else without authorisation.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at eastlinkaffiliate@gmail.com if you suspect any unauthorised access to your account.

One Account Per Person

Each individual or business entity may maintain only one Merchant account and one Affiliate account. Creating multiple accounts to circumvent limits, bans, or verification requirements is strictly prohibited and will result in permanent termination of all associated accounts.

Account Verification

Merchants must complete KYB (Know Your Business) verification before activating campaigns or funding their Wallet. Affiliates may be required to verify their identity before requesting payouts above certain thresholds. We reserve the right to request additional documentation at any time.

Email Verification

A verified email address is required to access all Platform features. We may restrict access to unverified accounts.

Subscription Plans

Merchants access the Platform through subscription plans (Starter, Growth, Pro, or Enterprise). Subscription fees are charged in advance and are non-refundable except where required by law. Plans auto-renew unless cancelled before the renewal date. You may upgrade your plan at any time.

Wallet Funding

Merchants must maintain a funded Wallet to pay Affiliate commissions. When a Conversion is approved, the commission amount is debited from the Merchant's Wallet. If the Wallet balance is insufficient to cover pending commissions, campaigns may be automatically paused. Wallet funds are non-refundable except where a technical error results in an incorrect charge.

Campaign Obligations

Merchants are responsible for:

• Ensuring all campaign content, products, and services comply with applicable laws in Tanzania and target countries
• Providing accurate commission rates, conversion triggers, and campaign terms to Affiliates
• Maintaining accurate conversion tracking integrations
• Approving or rejecting conversion claims within reasonable timeframes
• Funding their Wallet sufficiently to pay approved commissions
• Not reducing commission rates for existing approved Affiliates without 14 days' written notice

KYB Verification

All Merchants must pass KYB verification before campaigns go live. We reserve the right to reject any Merchant application without providing reasons. Approved Merchant status may be revoked if we discover material misrepresentation in the KYB process.

API Access

Pro and Enterprise Merchants may access our REST API using API keys generated on the Platform. API keys must be kept confidential. Merchants are responsible for all usage under their API keys. Misuse of the API (including excessive requests, automated scraping, or use for purposes other than legitimate conversion tracking) will result in API access revocation.

Merchant Representations

By creating a Merchant account, you represent and warrant that:

• Your business is legally registered and operating in compliance with applicable laws
• You have authority to enter into these Terms on behalf of your business
• Your products and services are legal and do not infringe any third-party rights
• For betting/gaming campaigns: you hold all required licences from the Gaming Board of Tanzania or equivalent authority

Joining Campaigns

Affiliates may apply to Merchant campaigns through the Platform. Campaign approval is at the sole discretion of the Merchant. Approval to one campaign does not guarantee approval to others. Merchants may revoke Affiliate approval at any time for any reason.

Promotional Standards

Affiliates must promote Merchant campaigns honestly and professionally. You must:

• Clearly disclose that you are an affiliate and may earn a commission on referrals
• Not make false or misleading claims about Merchant products, services, prices, or terms
• Only use promotional channels approved by the Merchant in the campaign settings
• Not use the Merchant's brand, logos, or trademarks without explicit written permission
• Comply with the advertising standards of any platform or medium you use for promotion

Tracking Links and Promo Codes

Affiliates may not modify, redirect, or manipulate Tracking Links. You may not use your own Tracking Link or Promo Code to self-refer (i.e., to generate commissions from your own purchases or sign-ups). Self-referral is considered fraud and will result in immediate account termination and forfeiture of all pending commissions.

Tipster Obligations

Affiliates who operate as Tipsters and publish sports predictions on the Platform agree to:

• Submit only genuine, independently researched predictions — not recycled or purchased tips
• Submit predictions at least one hour before the relevant match or event kicks off
• Not manipulate, falsify, or retroactively alter prediction records
• Not mislead followers about prediction accuracy or track record
• Comply with responsible gambling guidelines when promoting betting campaigns

Affiliate Representations

By creating an Affiliate account, you represent and warrant that you are at least 18 years old, that all information you provide is accurate, and that your promotional activities comply with applicable laws in your jurisdiction.

Commission Calculation

Commissions are calculated based on the commission structure defined in each Campaign (e.g., percentage of sale value, fixed amount per lead, or fixed amount per sign-up). Eastlink Affiliate deducts a Platform Fee of 6% from each commission before crediting the Affiliate's balance.

Conversion Hold Period

All Conversions enter a hold period (typically 24–48 hours as set by the Merchant) during which the Merchant may review and dispute the conversion. After the hold period, valid Conversions are automatically approved and credited to the Affiliate's Approved Balance.

Conversion Disputes

Merchants may reject a Conversion within the hold period if they have evidence of fraud, a returned order, a duplicate claim, or a technical error. Disputes must be supported by evidence. We review disputed Conversions and our decision is final.

Payout Requests

Affiliates may request a payout of their Approved Balance (minimum TZS 25,000 / USD 10.00) via M-Pesa, Airtel Money, MTN MoMo, bank transfer, or PayPal. A further withdrawal fee of 6% (minimum USD 0.50) is deducted from the payout amount at the time of withdrawal.

Payout Processing

Payout requests are processed within 3–5 business days. We use Snippe and other payment processors for mobile money payouts. We are not liable for delays caused by payment processors, mobile network operators, or banking systems.

Fraud Prevention

All payout requests are subject to automated fraud scoring. Requests that score above our fraud threshold are automatically held for manual review. Requests from accounts with a history of suspicious activity may be permanently blocked. We reserve the right to withhold payment and terminate accounts where fraud is confirmed.

Currency

Commissions may be denominated in USD or TZS depending on the Campaign. Payouts are processed in the currency supported by the chosen payment method. Exchange rates where applicable are based on the prevailing rate at the time of processing.

Taxes

Affiliates and Merchants are solely responsible for declaring and paying any applicable taxes (including income tax, VAT, or withholding tax) on commissions, subscription fees, or other payments received through or made via the Platform. Eastlink Affiliate does not withhold taxes on your behalf.

The following activities are strictly prohibited on the Platform and will result in immediate account termination, forfeiture of pending balances, and may be reported to relevant authorities:

Fraud and Manipulation

• Generating fake clicks, impressions, or Conversions by any means
• Using bots, scripts, or automated tools to simulate user activity
• Self-referring using your own Tracking Link or Promo Code
• Creating multiple accounts to inflate referral counts or earnings
• Manipulating, forging, or tampering with Tracking Links or cookies
• Submitting false or fabricated Conversion data via the API

Misleading Promotion

• Making false or misleading claims about Merchant products, services, or promotions
• Impersonating a Merchant, their brand, or official channels
• Publishing fake reviews or testimonials
• Promoting gambling campaigns to individuals under 18
• Making unrealistic earnings claims to recruit sub-affiliates

Platform Abuse

• Attempting to access, reverse-engineer, or circumvent any security or authentication system
• Scraping, crawling, or harvesting data from the Platform without authorisation
• Uploading malware, viruses, or malicious code
• Interfering with the Platform's infrastructure or other users' access
• Using the Platform to send spam or unsolicited communications
• Sharing your API key or account credentials with third parties

Illegal Activity

• Promoting illegal products, services, or activities under Tanzanian law or international law
• Money laundering or using the Platform for unlawful financial transactions
• Violating any applicable anti-money laundering (AML) or counter-terrorism financing (CTF) laws
• Promoting content that is defamatory, harassing, or discriminatory

Our Intellectual Property

All content on the Platform — including but not limited to the Eastlink Affiliate name, logo, brand identity, software, code, design, text, graphics, user interface, and documentation — is owned by or licensed to Eastlink Affiliate Ltd and is protected by applicable intellectual property laws in Tanzania and internationally.

You may not copy, reproduce, modify, distribute, or create derivative works from our intellectual property without our prior written consent.

Your Content

You retain ownership of any content you upload to the Platform (such as product descriptions, campaign creatives, or profile information). By uploading content, you grant Eastlink Affiliate a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content for the purpose of operating the Platform and providing our services.

You represent and warrant that any content you upload does not infringe any third-party intellectual property rights and complies with applicable laws.

Merchant Brands

Affiliates may not use a Merchant's trademarks, logos, or brand assets in their promotional materials without the Merchant's explicit written permission. Unauthorised use of Merchant branding is a violation of these Terms and may expose you to legal liability.

Feedback

Any feedback, suggestions, or ideas you provide to us about the Platform may be used by us freely without any obligation to compensate you, and you waive any intellectual property rights in such feedback.

No Earnings Guarantee

Platform "As Is"

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

Third-Party Services

The Platform integrates with third-party services including payment processors, cloud storage, and email providers. We are not responsible for the availability, accuracy, or performance of third-party services, or for any losses arising from their failure or malfunction.

Merchant-Affiliate Relationship

Eastlink Affiliate is not responsible for disputes between Merchants and Affiliates, including disputes about commission amounts, product quality, campaign terms, or payout timing. We provide tools to facilitate communication and dispute resolution but are not liable for the outcomes of Merchant-Affiliate commercial arrangements.

Limitation of Liability

To the maximum extent permitted by Tanzanian law, Eastlink Affiliate's total liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of:

• The total fees you paid to Eastlink Affiliate in the 12 months preceding the claim, or
• TZS 100,000 (one hundred thousand Tanzanian Shillings)

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, even if we have been advised of the possibility of such damages.

Termination by You

You may close your account at any time by contacting us at eastlinkaffiliate@gmail.com. Upon closure, any pending commissions in the hold period will be forfeited. Approved balances above the minimum payout threshold will be paid out after the standard processing period. Merchant Wallet balances are non-refundable.

Termination by Us

We may suspend or terminate your account immediately and without prior notice if:

• You violate any provision of these Terms
• We detect fraud, attempted fraud, or suspicious activity on your account
• You fail to complete required verification within a reasonable period
• Continued operation of your account poses a legal, financial, or reputational risk to Eastlink Affiliate
• We are required to do so by law, regulation, or court order

Effect of Termination

Upon termination: your access to the Platform is revoked immediately; all active Tracking Links will cease to record conversions; pending commissions in the hold period are forfeited; any approved balance will be paid out at our discretion after investigation; Merchant Wallet balances are non-refundable except where termination was caused by our error.

Survival

Sections relating to intellectual property, limitation of liability, disputes, and any accrued payment obligations survive termination of these Terms.

Informal Resolution

Before initiating any formal dispute process, you agree to first contact us at eastlinkaffiliate@gmail.com and attempt to resolve the dispute informally. We will endeavour to respond within 10 business days and work with you in good faith to find a resolution.

Governing Law

These Terms and any disputes arising out of or related to them or the Platform shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law principles.

Jurisdiction

You agree that any legal proceedings relating to these Terms shall be brought exclusively in the courts of Tanzania. If you are a consumer based in another East African country, you may also have rights under local consumer protection laws that we will honour.

Dispute Between Merchants and Affiliates

Disputes between Merchants and Affiliates regarding commissions, campaign terms, or promotional conduct should first be escalated to us via our support channel. We will review available evidence and issue a non-binding recommendation. Either party may then pursue formal legal remedies if unsatisfied.

We may update these Terms from time to time. When we make material changes we will:

• Update the "Last updated" date at the top of this page
• Notify all registered users by email at least 14 days before the changes take effect
• Display a prominent notice on the Platform dashboard

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree with any changes, you must stop using the Platform and may close your account.
